Second, the board does not RUN the company. The board oversees the Officers that were hired to run the company, but rarely second-guess them on management style. This is much the way Congress has oversight over the Executive Branch, but cannot overrule it, just remove them my impeachment. Typically, if Board-appointed executives at a corporation, there will be vote to remove them. Again, ONE board member has no authority to do anything unilaterally, so your inference that he "could have done something" by himself is pure grade-A bullshit. I have been on a board and I am well aware. Maybe you should learn how a person can work. It takes one person to speak up. That is how concern and action often starts, with one person.
