The relevant laws governing managers of public corporations probably have to do with an assortment of self enrichment by other means, inclduing tax evasion. E.g., hiring a contractor to repair the hotel swimming pool on the condition that they also repair the CEO's home swimming pool at no charge. There are MANY examples, including hotel mogul Leona Helmsley:
